data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p><strong>TAPAHTUMATILOJEN YLEISET VUOKRAEHDOT<\/strong><br \/>Sopimus katsotaan syntyneeksi vuokralaisen hyva\u0308ksyessa\u0308 vuokraehdot kirjallisesti Wanhan Sataman yhteyshenkilo\u0308lle.<\/p><p><strong>1. TILAVUOKRA<\/strong><br \/>Tilavuokraan sisa\u0308ltyy: &#8211; avoin langaton verkko em. tapahtumatiloissa<br \/>&#8211; kaksi sisa\u0308opastetelinetta\u0308 (A3) &#8211; salien yleisvalaistus ja yleissa\u0308hko\u0308 (saleissa valmiina olevien kiinteiden pistorasioiden ka\u0308ytto\u0308) &#8211; vuokrattavan tilan la\u0308heisyydessa\u0308 olevien saniteettitilojen ka\u0308ytto\u0308oikeus<br \/>Vuokranantaja luovuttaa tilat alkusiivottuna vuokralaiselle, joka luovuttaa tilat heti vuokra-ajan pa\u0308a\u0308tyttya\u0308 vastaavassa kunnossa vuokranantajalle. Vuokralaisesta aiheutuvat muut tyo\u0308t ja ja\u0308rjestelyt suoritetaan kulloinkin voimassa olevan hinnaston mukaisesti. Tapahtumasta kertyneet ylima\u0308a\u0308ra\u0308iset kulut (esim. na\u0308yttelykaluston ja -ja\u0308tteiden ha\u0308vitta\u0308minen, tavaroiden varastoiminen, lisa\u0308siivous tai yo\u0308vartiointi) veloitetaan erikseen vuokralaiselta.<\/p><p><strong>2. MAKSUEHDOT<br \/><\/strong>Osapuolet hyva\u0308ksyva\u0308t maksuehdot tarjouksen ja vahvistuksen mukaisesti.<br \/>Jos maksueria\u0308 ei ole suoritettu sovitulla tavalla, on vuokranantajalla oikeus olla luovuttamatta tiloja vuokralaisen ka\u0308ytto\u0308o\u0308n.<br \/>Pida\u0308ta\u0308mme oikeuden verolakien ja -tulkintojen muutoksista aiheutuviin hinnantarkistuksiin. Lisa\u0308ksi pida\u0308ta\u0308mme oikeuden maksuehtojen uudelleen ma\u0308a\u0308rittelyyn johtuen yrityksen luottotiedoissa tapahtuneista muutoksista tai yrityksen heikentyneesta\u0308 riskiluokituksesta.<br \/>Varaajan tulee ilmoittaa laskutusosoite varausvahvistuksen yhteydessa\u0308.<\/p><p><strong>3. RAVINTOLAPALVELUT<\/strong><br \/>Tilaisuuden tarjoilu tulee vahvistaa kaksi viikkoa ennen tilaisuutta. Henkilo\u0308ma\u0308a\u0308ra\u0308 seka\u0308 mahdolliset erityisruokavaliotoiveet viimeista\u0308a\u0308n viikkoa ennen tilaisuutta. Vahvistettu henkilo\u0308ma\u0308a\u0308ra\u0308 toimii laskutusperusteena, ja sen ylittyessa\u0308 laskutamme toteutuneen mukaisesti erillisen hinnaston mukaan.<br \/>Hinnat alv 0%. Hinnat voimassa toistaiseksi, pida\u0308ta\u0308mme oikeuden hinnanmuutoksiin.<\/p><p><strong>4. YLEISET EHDOT<\/strong><br \/><strong>4.1.<\/strong> Tilaisuutta varten tehta\u0308vista\u0308 erityisja\u0308rjestelyista\u0308, laitteista, varusteista seka\u0308 niita\u0308 varten varattavasta henkilo\u0308kunnasta veloitetaan erikseen.<br \/><strong>4.2.<\/strong> Tilavarausta ei voi siirta\u0308a\u0308 kolmannen osapuolen ka\u0308ytto\u0308o\u0308n ilman erillista\u0308 sopimusta vuokranantajan kanssa. Siirto saattaa vaikuttaa sopimus- ja maksuehtoihin. Varaaja on velvollinen tiedottamaan sovituista asioista myo\u0308s mahdolliselle alihankkijalleen tai kolmannelle osapuolelle.<br \/>Vuokranantaja ei vastaa sa\u0308hko\u0308n, internet-yhteyden tai la\u0308mmo\u0308n saannissa mahdollisesti tapahtuvista rajoituksista, tai epa\u0308sa\u0308a\u0308nno\u0308llisyyksista\u0308 mika\u0308li ne aiheutuvat vuokranantajasta riippumattomista syista\u0308. Sa\u0308hko\u0308nsyo\u0308to\u0308t tulee tilata erikseen vuokranantajalta.<br \/><strong>4.3.<\/strong> Vuokralainen vastaa kaikesta vahingosta, jonka vuokralainen, esiintyja\u0308t, tilaisuuden yleiso\u0308 tai vastaavat aiheuttavat vuokranantajan kiintea\u0308lle tai irtaimelle omaisuudelle. Kiinteisto\u0308n rakenteisiin ei saa kiinnitta\u0308a\u0308 mita\u0308a\u0308n ilman erillista\u0308 lupaa. Mika\u0308li rakenteisiin on kiinnitetty (porattu, propattu, teipattu tms.), on vuokranantajalla oikeus laskuttaa vuokralaiselta minimissa\u0308a\u0308n 3000 \u20ac. Vuokralainen ei ole oikeutettu tekema\u0308a\u0308n minka\u0308a\u0308nlaisia pysyvia\u0308 muutoksia vuokraamissaan tiloissa. Vuokranantaja ei vastaa vahingosta, jos vuokralaisen, esiintyjien tai vuokralaisen palveluksessa olevan henkilo\u0308n tai yleiso\u0308n omaisuutta katoaa tai vahingoittuu.<br \/><strong>4.4.<\/strong> Vuokralainen on velvollinen kustannuksellaan hankkimaan tilaisuuden ja\u0308rjesta\u0308miseksi mahdollisesti tarvittavat viranomaisluvat ja toimittamaan luvista ja\u0308ljenno\u0308kset vuokranantajalle ennen tilaisuutta lain asettamissa ma\u0308a\u0308ra\u0308ajoissa.<br \/><strong>4.5.<\/strong> Rakennuksen seinien seka\u0308 ulkoalueen ka\u0308ytta\u0308minen mainostilana tulee hyva\u0308ksytta\u0308a\u0308 vuokranantajalla.<br \/><strong>4.6.<\/strong> Palo- ja muuta turvallisuutta koskevissa kysymyksissa\u0308 on noudatettava viranomaisten ja vuokranantajan ohjeita.<br \/><strong>4.7.<\/strong> Vuokralainen sitoutuu noudattamaan vuokranantajan tilojen ka\u0308yto\u0308sta\u0308 laatimia ohjeita ja ma\u0308a\u0308ra\u0308yksia\u0308. Vuokralainen katsotaan vastuulliseksi tapahtuman ja\u0308rjesta\u0308ja\u0308ksi.<br \/>Vuokranantajan syyksi luettavasta virheesta\u0308 johtuvasta vahingosta aiheutuva korvaus on enimmilla\u0308a\u0308n 5000\u20ac yksitta\u0308ista\u0308 vahinkotapahtumaa kohden.<br \/><strong>4.8.<\/strong> Vuokralainen nimea\u0308a\u0308 puolestaan yhteyshenkilo\u0308n, joka ta\u0308ysin valtuuksin on oikeutettu neuvottelemaan ja pa\u0308a\u0308tta\u0308ma\u0308a\u0308n kaikista tilaisuutta koskevista asioista.<br \/><strong>4.9.<\/strong> Vuokrasuhde pa\u0308a\u0308ttyy ilman eri irtisanomista. Vuokrattu tila on luovutettava vuokranantajan hallintaan sopimuksen mukaisessa kunnossa viimeisena\u0308 vuokrapa\u0308iva\u0308na\u0308 vuokrasopimuksessa ma\u0308a\u0308riteltyna\u0308 aikana. Ylimeneva\u0308sta\u0308 ajasta vuokranantaja on oikeutettu veloittamaan 5 % sopimuksen loppusummasta jokaiselta alkavalta ylitetylta\u0308 tunnilta. Sopimuksessa hyva\u0308ksytyista\u0308 tapahtuman pa\u0308iva\u0308aikatauluista poikkeaminen oikeuttaa vuokranantajan laskuttamaan 200\u20ac\/ alkava tunti + mahdolliset muut henkilo\u0308sto\u0308kulut toteutuneen mukaan, mika\u0308li asiasta ei ole etuka\u0308teen kirjallisesti sovittu.<br \/><strong>4.10.<\/strong> Tilatut lisa\u0308palvelut laskutetaan erillisen sopimuksen mukaan.<br \/><strong>4.11.<\/strong> Vuokranantaja pida\u0308tta\u0308a\u0308 itsella\u0308a\u0308n oikeuden vuokrata kiinteisto\u0308n muut tilat toisia tilaisuuksia varten tai toteuttaa niissa\u0308 itse omia tapahtumia. Pa\u0308a\u0308aula ja pa\u0308a\u0308sisa\u0308a\u0308nka\u0308yntitilat ovat tilanteen mukaan yhteiska\u0308yto\u0308ssa\u0308.<br \/><strong>4.12.<\/strong> Vuokralainen sitoutuu mainonnassaan selkea\u0308sti tuomaan esiin tapahtumapaikan (Wanha Satama).<\/p><p><strong>5. RIITAISUUDET<\/strong><br \/>Ta\u0308sta\u0308 sopimuksesta mahdollisesti aiheutuvat riitaisuudet pyrita\u0308a\u0308n ensisijaisesti ratkaisemaan neuvottelemalla, ja jollei ta\u0308ma\u0308 onnistu, Helsingin ka\u0308ra\u0308ja\u0308oikeudessa.<\/p><p><strong>6. FORCE MAJEURE<\/strong> (lis\u00e4tty 13.10. nimenomainen maininta Covid-19 tai vastaava epidemia)<br \/>Ylivoimaisen esteen tapauksessa molemmat osapuolet vapautuvat ta\u0308sta\u0308 sopimuksesta. Ta\u0308llaisia ovat esimerkiksi tulipalo, tulva, maanja\u0308ristys, sota tai lakko Suomessa, Covid-19 tai vastaava epidemia ja sen aiheuttamat viranomaisrajoitukset, mika\u0308li na\u0308ma\u0308 olosuhteet suoraan vaikuttavat tapahtuman ja\u0308rjesta\u0308miseen siten, ettei tapahtumaa sovittuna ajankohtana voida toteuttaa. Na\u0308issa\u0308 force majeure -tilanteissa pyrita\u0308a\u0308n ensisijaisesti varaamaan tapahtumalle uusi aika Wanhan Sataman tiloista. Mika\u0308li se ei ole mahdollista, esteen toteamisen hetkella\u0308 jo suoritetut toimet ja maksut ja\u0308a\u0308va\u0308t pysyviksi ilman palautusvelvollisuutta, mutta osapuolet vapautuvat enemmista\u0308 sopimusvelvoitteista puolin ja toisin eika\u0308 tapahtuman estymisesta\u0308 kumpikaan osapuoli ole velvollinen suorittamaan korvausta.<\/p><p><strong>7. VAKIOPALVELUT<\/strong><br \/>Wanhan Sataman ravintola-, tarjoilu- ja anniskeluoikeudet ovat ravintolatoimen harjoittajalla. Omien elintarvikkeiden ja alkoholijuomien tuominen ja tarjoilu kiinteisto\u0308ssa\u0308 on kielletty. Siivouspalvelut, sa\u0308hko\u0308- , vesi- ja viema\u0308ro\u0308inti-, a\u0308a\u0308nentoisto- ja kiintea\u0308t rakennusoikeudet ovat vuokranantajan valitsemilla alihankkijoilla, ellei toisin sovita.<\/p><p><strong>8. PERUUTUSEHDOT<\/strong><br \/>Varaus on sitova vahvistuksen pa\u0308iva\u0308ma\u0308a\u0308ra\u0308sta\u0308 lukien. Mika\u0308li vahvistuksen tiedoissa on jotain ta\u0308smennetta\u0308va\u0308a\u0308, tulee niista\u0308 ilmoittaa yhteyshenkilo\u0308lle kahden vuorokauden kuluessa vahvistuksen pa\u0308iva\u0308ma\u0308a\u0308ra\u0308sta\u0308.<br \/>Mika\u0308li peruutus tapahtuu vahvistuksen pa\u0308iva\u0308ma\u0308a\u0308ra\u0308n ja\u0308lkeen ja yli 6 kk ennen varauksen alkua, ja\u0308a\u0308 50 % vuokrasummasta vuokranantajan haltuun. Mika\u0308li peruutus tapahtuu 6 kk \u2013 0kk ennen varauksen alkua, 100 % vuokrasummasta vuokranantajalle. Any other work and arrangements required for the hirer shall be charged according to the valid price list. Any additional costs incurred from the event (such as the disposal of exhibition fixtures and waste, storing items, additional cleaning or night guards) shall be separately charged from the hirer.<\/p>\n<p><strong>PAYMENT TERMS<br \/><\/strong>The parties shall accept the payment terms in accordance with the offer and confirmation. If payments are not made as agreed, the landlord has the right to refrain from granting the hirer access to the venue. We reserve the right to make price adjustments based on tax law and its interpretations. We also reserve the right to amend the payment terms due to changes in the company\u2019s credit information or the deterioration of the company\u2019s risk rating. The hirer must provide an invoicing address when confirming the booking.<\/p>\n<p><strong>RESTAURANT SERVICES<br \/><\/strong>The catering for the event must be confirmed two (2) weeks before the event. The number of persons and any special dietary requests must be provided at least two weeks before the event. Invoicing is based on the confirmed number of persons. If this is exceeded, we will invoice on the basis of the actual number according to a separate price list. Prices VAT 0%. Prices are valid until further notice; we reserve the right to make changes.<\/p>\n<p><strong>GENERAL TERMS AND CONDITIONS<br \/>4.1.<\/strong> Any special arrangements, equipment, fixtures or staff required to operate them are subject to a separate charge.<br \/><strong>4.2.<\/strong> The venue booking may not be transferred to a third party without a separate agreement with the landlord. The transfer may affect the agreement and payment terms. The hirer agrees to inform any subcontractors or third party of the agreed terms and arrangements. The landlord shall not be liable for any restrictions or irregularities in the availability of electricity, the internet connection or heating, if this is attributable to a cause beyond its control. Electrical power supply must be ordered from the landlord separately.<br \/><strong>4.3.<\/strong> The hirer is liable for any damage caused by the hirer, performers, event audience or other parties to the landlord\u2019s fixed or movable property. A separate permission is required to attach items to the building structures. If any items have been attached (drilled, screwed, taped, etc.) to the structures, the landlord has the right to charge a minimum fee of three thousand euros (EUR 3,000) from thehirer. The hirer does not have the right to make any permanent alterations to the hired premises. The landlord shall not be held liable for the loss of or damage to the property of the hirer, performers, employees of the hirer or the audience.<br \/><strong>4.4.<\/strong> The hirer shall acquire any official permits required for organising the event at its own cost and to deliver copies of the permits to the landlord before the event within the schedule required by law.<br \/><strong>4.5.<\/strong> Approval must be obtained from the landlord for using the building walls or outdoor area for advertising.<br \/><strong>4.6.<\/strong> Official regulations and the landlord\u2019s instructions must be followed in relation to fire and other safety aspects.<br \/><strong>4.7.<\/strong> The hirer agrees to follow the rules and orders issued by the landlord on the use of the premises. The hirer shall be considered the responsible event organiser.The maximum compensation for damage attributable solely to the landlord is five thousand euros (EUR 5,000) per individual instance of damage.<br \/><strong>4.8.<\/strong> The hirer must appoint a contact person as its representative, who is fully authorised to negotiate and decide on any matters relating to the event.<br \/><strong>4.9.<\/strong> The hire period shall expire without separate termination. The hired space must be returned to the landlord in the condition and at the time specified in the hire agreement on the last day of the hire period. If the hire period is exceeded, the landlord is entitled to charge five percent (5%) of the total sum of the agreement for each extra hour or part thereof. Any deviation from the daily event schedule specified in the agreement entitles the landlord to charge two hundred euros (EUR 200) per hour or part thereof and any other personnel costs according to actual costs, unless otherwise agreed in writing in advance.<br \/><strong>4.10.<\/strong> Any additional services ordered will be invoiced according to a separate agreement.<br \/><strong>4.11.<\/strong> The landlord retains the right to hire other premises on the property for other events or arrange events there itself. The main lobby and main entrance area are in shared use when appropriate.<br \/><strong>4.12.<\/strong> The hirer agrees to clearly state the name of the venue (Wanha Satama) in its advertising.<\/p>\n<p><strong>DISPUTES<br \/><\/strong>Any disputes arising from this agreement shall be primarily resolved through negotiation. If no settlement is reached, disputes shall be settled in the Helsinki District Court.<\/p>\n<p><strong>FORCE MAJEURE<\/strong> (13.10.2020 Covid-19 affect has been added).<br \/>In case of Force Majeure both parties are free of additional obligations of this contract, such as fire, flood, earthquake, war or strike in Finland, Covid-19 or similar epidemic and restrictions caused by it, in case the restrictions directly affect to the event so that the event is not possible to be organized at the date scheduled. A new date shall be appointed in such case. If that is not possible due to the nature of the event, all payments and activities by both parties shall remain permanent without any obligation to return or compensate, and the parties will be free of additional contract obligations.<\/p>\n<p><strong>STANDARD SERVICES<br \/><\/strong>The Wanha Satama restaurant operator provides the restaurant and catering services and holds the alcohol licence at the venue. No food or alcoholic beverages may be brought to or served on the premises by the hirer. Cleaning services, electricity, water supply and plumbing, audio facilities and fixed building rights are held by the subcontractors selected by the landlord, unless otherwise agreed.<\/p>\n<p><strong>CANCELLATION TERMS<br \/><\/strong>The booking is binding from the date of the confirmation. If changes need to be made to any information in the confirmation, this must be notified to the contact person within two (2) days of the date of the confirmation. If the booking is cancelled after the confirmation date and more than six (6) months before the start of the booking, the landlord will retain fifty percent (50%) of the hire charge amount. If the booking is cancelled six (6) months or later before the start of the booking, the landlord will retain one hundred percent (100%) of the rental amount.
